Fan Creatoor Agreement

Introduction

This Contract between Fan and Creator ("this Agreement") governs each interaction between a Fan and a Creator on the Mature Fans platform. By initiating a Creator Interaction, both the Fan and the Creator agree to be bound by this Agreement.

Scope

This Agreement is legally binding and applies each time a Creator Interaction is initiated on the Platform. This Agreement applies to the exclusion of any other terms which the Fan or Creator may propose.

Parties

The only parties to this Agreement are the Fan and Creator participating in the Creator Interaction. [COMPANY NAME] and/or its subsidiaries are not parties to this Agreement or any Creator Interaction except as set out below in relation to payment processing, fee deduction, and platform administration.

Definitions

In this Agreement, defined terms have the following meanings:

"Platform": The Mature Fans website and related services operated by [COMPANY NAME].

"Company": [COMPANY NAME].

"Content": Any material uploaded to the Platform by a Creator, including photos, videos, audio, data, text, metadata, images, interactive features, GIFs, and any other material whatsoever.

"Creator": A User who has set up their Mature Fans account to post Content for Fans to view.

"Creator Earnings": The portion of a Fan Payment payable to a Creator after deduction of the Company's platform commission.

"Creator Interaction": An interaction on the Platform that grants access to a Creator's Content, including: (i) a Subscription; (ii) a payment for Pay-Per-View Content; (iii) a Tip; and (iv) any other interaction or payment between a Fan and a Creator's account or Content, including paid or free direct messages.

"Creator Interaction Licence": The non-transferable, non-sublicensable, and non-exclusive rights a Creator grants to a Fan in relation to Relevant Content as part of a Creator Interaction.

"Fan": A User who has registered for an account on the Platform and who can access a Creator's Content via a Creator Interaction.

"Fan Payment": Any payment made by a Fan in relation to a Creator Interaction, including Subscription fees, Pay-Per-View purchases, Tips, and paid direct messages.

"Fan Locker": The personal library within a Fan's account where Pay-Per-View Content purchased by that Fan is stored and remains accessible.

"Pay-Per-View Content" (PPV)": Content for which the Fan must make a one-time Fan Payment to access a specific item, including photos, videos, and audio files.

"Platform Commission": The percentage of all Fan Payments charged to Creators by the Company in accordance with the Terms of Service, as disclosed in the Creator dashboard.

"Relevant Content": The specific Content of a Creator to which a Creator Interaction relates.

"Subscription": A Fan's binding agreement to obtain access for a specific recurring period to all Content that a Creator makes available to Fans under that Subscription tier, in exchange for authorising automatic renewal payments. This excludes individually priced PPV Content, Tips, and paid direct messages.

"Tip": A voluntary payment made by a Fan to a Creator that does not grant access to specific Content but is made as a gesture of appreciation or support.

"User": Any user of the Platform, whether a Creator, a Fan, or both.

Pricing and Payment

The Fan entering into a Creator Interaction agrees to pay the applicable Fan Payment plus any applicable indirect sales taxes, which the Company and its payment processors are authorised to collect on behalf of the Creator. The Company is authorised to deduct the Platform Commission, pay out Creator Earnings, and process any applicable referral payments in accordance with the Terms of Service.

Subscriptions and Renewals

When you select "Subscribe", you agree to start a Subscription. A Subscription will automatically renew at the current rate (plus any applicable taxes) at the end of each billing period. You authorise the Company to charge your selected payment method at the start of each new Subscription period unless:

• Your payment is declined and you have not provided an alternative payment method;

• The Subscription price has increased and you have not accepted the new price;

• You have switched off the auto-renew feature on the Creator's account before the renewal date;

• You close your Mature Fans account before the new Subscription period begins.

By selecting "Subscribe", you acknowledge that you will not receive further individual notices regarding each automatic renewal of that Subscription.

Tips

A Tip is a voluntary, non-refundable payment made by a Fan to a Creator as a gesture of appreciation or support. Tips do not grant the Fan any licence to access specific Content and do not create any obligation on the Creator to provide Content in return. All Tips are final once processed.

Direct Messages

The Platform supports both free and paid direct messages between Fans and Creators. Where a direct message requires a Fan Payment to unlock, that payment constitutes a Fan Payment under this Agreement. Paid direct messages are non-refundable once the message has been unlocked and accessed. Free direct messages do not constitute a Creator Interaction for payment purposes but are subject to the Platform's Terms of Service and Acceptable Use Policy.

Licence of Content

As part of a Creator Interaction, the Creator grants the Fan a Creator Interaction Licence. The Creator Interaction Licence permits the Fan to access and view the Relevant Content for personal, non-commercial purposes only. The Fan may not download, copy, redistribute, share, or resell any Relevant Content.

Ownership of Content

The Creator Interaction Licence does not grant the Fan any ownership rights over the Relevant Content. The Creator retains full ownership of all Content they upload to the Platform.

Pay-Per-View Content and the Fan Locker

When a Fan purchases PPV Content, that Content is added to the Fan's personal Fan Locker. PPV Content in a Fan's Locker remains accessible to that Fan permanently, even if the Creator subsequently removes the Content from their profile or deletes their account. This is because a PPV purchase constitutes a completed commercial transaction in which the Creator has been compensated.

This permanent retention applies only to PPV Content individually purchased by that Fan. Subscription-based Content is not retained in the Fan Locker — a Subscription grants access only for the duration of the active Subscription period.

Exception: PPV Content will be removed from all Fan Lockers, without refund, if: (a) the Content is determined to be illegal under applicable law; or (b) the required model release, age verification, or consent documentation for individuals depicted in the Content is found to be missing, incomplete, or invalid. Where legally permissible, affected Fans will be notified of such removal.

Expiry of Creator Interaction Licence

The Creator Interaction Licence expires automatically and without notice in the following circumstances:

• The Fan Payment related to the Creator Interaction was unsuccessful, charged back, or reversed;

• The Creator deletes the Relevant Content or their Creator account (except for PPV Content already stored in the Fan's Locker as described above);

• An active Subscription period ends and is not renewed;

• The Fan's account is suspended or terminated;

• The Fan breaches the Mature Fans Terms of Service or Acceptable Use Policy;

• The Relevant Content is removed from the Platform due to a legal or documentation violation;

• The Fan closes their account.

Removal of Content

The Company reserves the right to remove any Content from the Platform at any time in accordance with its Terms of Service and Acceptable Use Policy. The Fan acknowledges that Creators may also remove Content, including PPV Content, from their profiles at any time, subject to the Fan Locker retention rights described above.

Cancellations and Refunds

The following terms apply to cancellations and refunds for each type of Creator Interaction:

Subscriptions: A Fan may cancel a Subscription at any time through their account settings. Cancellation takes effect at the end of the current billing period. Access to Subscription Content continues until the end of the paid period. No partial refunds are issued for unused portions of a Subscription period.

PPV Content: PPV purchases are non-refundable once the Content has been accessed. The Fan acknowledges that by purchasing PPV Content they gain immediate access, and waives any statutory right to a cancellation period to the extent permitted by applicable law, including EU Directive 2011/83 and its implementing legislation.

Tips: Tips are voluntary and non-refundable in all circumstances once processed.

Paid Direct Messages: Paid direct messages are non-refundable once the message has been unlocked and accessed.

Notwithstanding the above, nothing in this Agreement affects any statutory right to a refund a Fan may have under applicable Dutch or EU consumer protection law.

Obligations of the Creator

In each Creator Interaction, the Creator agrees to:

• Comply at all times with the Mature Fans Terms of Service and Acceptable Use Policy;

• Ensure they hold all necessary rights, licences, and consents to grant the Creator Interaction Licence for the Relevant Content;

• Deliver PPV Content and paid direct message Content promptly once the Fan has made the Fan Payment;

• Ensure all individuals depicted in Content have provided valid, documented consent and that all required model releases are on file.

Obligations of the Fan

In each Creator Interaction, the Fan agrees to:

• Comply at all times with the Mature Fans Terms of Service and Acceptable Use Policy;

• Make the Fan Payment required to access Paid Relevant Content;

• Not initiate a chargeback unless the Fan disputes the Creator Interaction in good faith;

• Not download, share, redistribute, or commercially exploit any Relevant Content;

• Assume all risk of accessing Relevant Content, except where the Creator engages in negligence or another breach of duty.

Third Party Assistance

The Fan acknowledges that Creators may receive assistance from third parties — such as managers or agencies — in operating their accounts and managing Creator Interactions. However, in accordance with the Terms of Service, all direct communications with Fans must represent genuine personal engagement by the Creator and may not be conducted by automated tools, chatbots, or third parties impersonating the Creator.

No Guarantees

The Fan acknowledges that circumstances beyond the Company's control may prevent access to Relevant Content, including Platform downtime, maintenance, or technical failures. The Company does not guarantee uninterrupted access to the Platform or to any Creator's Content. Such unavailability does not automatically entitle the Fan to a refund.

Governing Law and Disputes

This Agreement is governed by the laws of the Netherlands. Any claim arising out of or relating to this Agreement may be brought:

• By a Fan resident in the European Union — in the courts of the Netherlands or the courts of the country where the Fan resides;

• By all other Fans — in the competent courts of the Netherlands.

Nothing in this Agreement limits a Fan's rights under mandatory consumer protection law applicable in their country of residence within the EU.

Severability

If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, unenforceable, or prohibited by law, the remaining provisions shall remain in full force and effect as though the invalid or unenforceable provision were not included.

This Agreement forms part of the Mature Fans Terms of Service. In the event of any conflict between this Agreement and the Terms of Service, the Terms of Service shall prevail.
